Terms of Service

Welcome to Huddle! These Terms of Service ("Terms") govern your use of the Huddle mobile application ("App") and any related services provided by Basenode Solutions s.r.o. ("we," "us," or "our").

By creating a Huddle account or by using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

1. Eligibility and Age Restriction

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if higher than 18), to create an account on Huddle and use the Service. By creating an account, you represent and warrant that you meet this age requirement and that you have the right, authority, and capacity to enter into this Agreement. If we become aware that you are under the required legal age, we will immediately terminate your account and delete your data.

2. User Accounts and Security

To use Huddle, you must register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You may not impersonate any other person or entity, or create an account for anyone other than yourself.

3. User-Generated Content (UGC)

Huddle allows users to create activities, send messages, post bios, and upload images (collectively, "User Content").

Your Responsibility: You are solely responsible for the User Content that you post, upload, or transmit via the App. You represent and warrant that your content does not violate any laws or the rights of third parties.

No Liability for UGC: Basenode Solutions s.r.o. does not control, endorse, or take responsibility for any User Content posted by you or other users. We act solely as a passive conduit for your online distribution and publication of User Content.

Right to Remove: We reserve the right (but have no obligation) to monitor, review, hide, or delete any User Content at any time, for any reason, and without notice, especially if we determine it violates these Terms or our community guidelines.

4. Offline Interactions and Liability Waiver

Huddle provides a platform for users to discover social events and connect with others. However, we are not organizers, sponsors, or operators of any offline activities created by users.

No Background Checks: You acknowledge that Basenode Solutions s.r.o. does not conduct criminal background checks on its users or otherwise inquire into the background of its users.

Assume the Risk: You are solely responsible for your interactions with other users. You agree to take reasonable precautions in all interactions with other users of the Service, particularly if you decide to communicate off the Service or meet in person.

Limitation of Liability: IN NO EVENT SHALL BASENODE SOLUTIONS S.R.O. BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OF THIS SERVICE OR PERSONS YOU MEET THROUGH THIS SERVICE.

5. Community Rules and Prohibited Conduct

By using Huddle, you agree not to:

Use the Service for any illegal or unauthorized purpose.

Harass, bully, stalk, intimidate, assault, defame, or otherwise mistreat any person.

Post content that is hate speech, threatening, sexually explicit, or pornographic.

Spam, solicit money from, or defraud any users.

Use any robot, spider, crawler, scraper, or other automated means to access the App or extract data.

Interfere with or disrupt the Service or servers connected to the Service.

6. Huddle Score and Account Termination

We utilize a dynamic reputation system ("Huddle Score") to maintain community trust. We reserve the right to suspend, disable, or terminate your account at our sole discretion, without notice or liability, for any reason, including but not limited to: violating these Terms, receiving consistent negative reports from other users, dropping below a minimum acceptable Huddle Score, or engaging in behavior that harms the community.

7. Disclaimers

THE APP AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BASENODE SOLUTIONS S.R.O. DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASENODE SOLUTIONS S.R.O., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the Czech Republic, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

10. Changes to these Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.

11. Child Safety Standards and Zero-Tolerance Policy

Basenode Solutions s.r.o. has a strict, zero-tolerance policy towards any content, behavior, or activities that involve child sexual abuse, exploitation, or endangerment.

To ensure a safe environment for our community, we enforce the following strict standards:

Zero Tolerance for CSAE/CSAM: The creation, uploading, sharing, or transmission of Child Sexual Abuse Material (CSAM) or Child Sexual Abuse and Exploitation (CSAE) content is strictly prohibited. Any account found engaging in such activities will be immediately and permanently terminated without notice.

In-App Reporting Mechanism: Users can report any suspicious behavior, inappropriate content, or potential child safety concerns directly within the App using our built-in reporting features.

Blocking Mechanism: Users have the ability to instantly block any other user to prevent further contact and visibility within the platform.

Law Enforcement Cooperation: In accordance with applicable laws and global safety standards, we actively cooperate with law enforcement authorities and international organizations (such as NCMEC). We will report any detected instances of child exploitation or abuse material, along with necessary identifying account data, to the appropriate legal and regulatory bodies.
